Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Wealth Gateway website and API services (the "Service") operated by Wealth Gateway, Inc. ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Wealth Gateway provides an API gateway service for financial data aggregation through integration with Plaid. Our Service includes:

• RESTful API access to financial account data
• Intelligent caching of balance and transaction data
• Webhook infrastructure for real-time updates
• Developer dashboard for account management
• Multi-tenant API key management

3. Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password and API keys that you use to access the Service and for any activities or actions under your password or API keys. You agree not to disclose your password or API keys to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3 API Key Usage

API keys are provided for your exclusive use. You may not share, sell, lease, or transfer API keys to any third party. Each API key is subject to rate limits as specified in your subscription plan. We reserve the right to revoke API keys that violate these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To impersonate or attempt to impersonate Wealth Gateway, a Wealth Gateway employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service
• To use any robot, spider, or other automatic device to access the Service for any purpose without our express written permission
• To introduce any viruses, trojan horses, worms, logic bombs, or other malicious material
• To scrape, harvest, or collect data from the Service without authorization

5. Financial Data and Plaid Integration

5.1 End User Consent

If you use our Service to access financial data on behalf of end users (your customers), you represent and warrant that you have obtained all necessary consents from those end users to access their financial information through our Service and Plaid.

5.2 Plaid Terms

Your use of financial data through our Service is also subject to Plaid's terms of service and privacy policy. You agree to comply with all applicable Plaid terms when using our Service.

5.3 Data Usage Restrictions

You agree to use financial data obtained through our Service only for the purposes disclosed to end users. You may not:

• Sell or rent financial data to third parties
• Use financial data for credit decisions without proper authorization
• Store financial data longer than necessary for your stated purpose
• Use financial data for marketing purposes without explicit consent

6. Payment and Billing

6.1 Subscription Fees

Certain features of the Service require payment of fees. All fees are stated in US dollars and are exclusive of applicable taxes. You agree to pay all fees in accordance with the billing terms in effect at the time a fee is due and payable.

6.2 Refund Policy

Subscription fees are non-refundable except as required by law or as explicitly stated in writing by Wealth Gateway. You may cancel your subscription at any time, but you will not receive a refund for any fees already paid.

6.3 Rate Limiting and Overage

API usage is subject to rate limits based on your subscription plan. If you exceed your plan's limits, we may throttle your requests or charge overage fees as specified in your plan. We reserve the right to upgrade your plan automatically if you consistently exceed limits.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Wealth Gateway, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Wealth Gateway, Inc.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WEALTH GATEWAY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE SERVICE. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

IN NO EVENT SHALL WEALTH GATEWAY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. Indemnification

You agree to defend, indemnify and hold harmless Wealth Gateway and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
